Terms of Service

Effective October 1, 2026

These Terms of Service (the "Terms") govern access to and use of the P-AI-roll service (the "Service") provided by P-AI-roll, Inc., a Delaware corporation with offices at 3218 Gonzales Street, Austin, Texas 78702 ("P-AI-roll", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and the organization you represent (the "Customer").

1. The Service

P-AI-roll computes payable time for hourly workers from evidence sources the Customer connects, manages corrections and their review, prices timesheets according to plans the Customer configures, generates invoices, and optionally queues payouts through third-party payment providers. P-AI-roll is not an employer of record, a professional employer organization, a payroll tax service or a provider of legal, tax or accounting advice. The Customer remains the employer or contracting party of its workers and is solely responsible for wages, classification, withholding, filings and compliance with applicable law.

2. Accounts and access

The Customer is responsible for the accuracy of the information it provides, for the acts of users it authorizes, and for keeping sign-in credentials confidential. The Customer will promptly notify us of any unauthorized use. Worker accounts are provisioned by the Customer and exist to let workers view their own records and file corrections.

3. Customer data

The Customer owns the data it submits or connects to the Service ("Customer Data") and grants P-AI-roll a non-exclusive license to process it solely to provide, maintain and improve the Service. We do not sell Customer Data and do not use it to train machine-learning models. Our Privacy Policy describes our processing in more detail.

4. Evidence sources and integrations

The Customer authorizes P-AI-roll to read data from the time-tracking, telephony, calendar, messaging and workforce systems it connects. Integrations are read-only. The Customer represents that it has the right to connect those systems and to process its workers' activity data for the purpose of computing pay.

5. Decisions remain human

The Service's review features produce recommendations only. The Customer's administrators decide whether a correction, adjustment or payout is approved. P-AI-roll is not responsible for pay decisions made by the Customer.

6. Payouts

Where the Customer enables payouts, P-AI-roll transmits instructions to the Customer's account with a third-party payment provider. P-AI-roll never holds Customer or worker funds. The provider's terms govern the transfer of funds, fees, exchange rates and timing.

7. Fees

Fees are described on our pricing page or in an order form and are billed monthly in arrears based on the number of workers paid in the month, subject to any minimum. Fees exclude taxes and third-party payment fees. Late amounts accrue interest at 1% per month or the maximum lawful rate, whichever is lower.

8. Term and termination

Subscriptions continue month to month until cancelled. Either party may terminate on 30 days' notice; either party may terminate immediately for material breach not cured within 15 days of notice. On termination we make Customer Data available for export for 30 days, then delete it within 90 days except where retention is required by law.

9. Acceptable use

The Customer will not use the Service to violate law, to infringe the rights of others, to process data it has no right to process, to attempt to access other customers' data, or to reverse-engineer the Service.

10. Warranties and disclaimers

We warrant that the Service will perform materially as described in our documentation. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that computed hours are correct in every case; the Service is designed for human review.

11. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages. Each party's total liability under these Terms is limited to the fees paid by the Customer in the twelve months preceding the claim, except for breach of confidentiality, indemnification obligations or a party's gross negligence or willful misconduct.

12. Indemnification

The Customer will defend and indemnify P-AI-roll against claims arising from the Customer's employment or contracting relationships, its pay decisions, or Customer Data. P-AI-roll will defend and indemnify the Customer against claims that the Service infringes a third party's intellectual property.

13. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms.

14. General

These Terms are governed by the laws of the State of Texas. Disputes will be resolved in the state or federal courts located in Travis County, Texas. These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties. We may update these Terms by posting a revised version and notifying account administrators at least 30 days before material changes take effect.
